Terms of Service

These Terms of Service govern access to and use of the ISPAgents website, platform, and related services. By creating an account or using the service, you agree to these terms on behalf of yourself and the operator you represent.

ISPAgents is a cloud operations platform that helps operators run billing, payments, RADIUS and access control, router and CPE management, support, field service, inventory, and AI-assisted workflows. Features, plans, and connectors may evolve over time.

You are responsible for the accuracy of account information, for safeguarding credentials, and for activity under your account. You must configure roles and approvals appropriately and ensure that team members use the platform within their granted permissions.

You may not use the service to violate law, infringe rights, disrupt networks you are not authorized to manage, circumvent security or rate limits, or attempt to access data belonging to other tenants. Connector actions must target only infrastructure and subscribers you are authorized to operate.

You are the controller of your subscribers’ data and are responsible for having a lawful basis to process it, for honoring end-user rights, and for the configuration of suspend, restore, and control actions. ISPAgents acts as your processor for that data and follows your instructions through the platform.

Paid plans are billed per the pricing in effect for your workspace (for example, per managed device with volume tiers). Fees are charged in advance unless stated otherwise, are non-refundable except where required by law, and unpaid amounts may lead to suspension after notice.

We work to keep the service available and reliable but do not guarantee uninterrupted operation. We may modify, add, or remove features, and will use reasonable efforts to communicate material changes that affect how you operate.

ISPAgents and its licensors own the platform, software, and brand. You retain ownership of your data. You grant us the limited rights needed to host and process your data to provide the service.

Each party will protect the other’s confidential information and use it only to perform under these terms. This does not apply to information that is public, independently developed, or rightfully received from a third party.

Except as expressly stated, the service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, and each party’s aggregate liability arising out of these terms is limited to the amounts paid for the service in the twelve months preceding the claim.

You will defend and indemnify ISPAgents against third-party claims arising from your unlawful use of the service, your breach of these terms, or your handling of subscriber data outside the platform’s controls.

Either party may terminate as permitted in the applicable order or for material breach not cured after notice. On termination, your right to use the service ends; we will make your data available for export for a reasonable period before deletion, subject to legal retention requirements.

These terms are governed by the law specified in your order or, absent that, our principal place of business. We may update these terms; continued use after changes take effect constitutes acceptance, and the “last updated” date above will change.
